Terms of Service
Effective date: March 30, 2026. These Terms of Service ("Terms") govern your access to and use of the websites, applications, and related offerings operated by Logentrax Industrial Services ("Logentrax," "we," "us"). By using the Services, you agree to these Terms.
1. The Services
Logentrax provides a digital platform to connect industrial and logistics stakeholders, including tools for discovery, requests, communications, and related features. Features may change over time. Some capabilities may require separate agreements, fees, or verification.
2. Eligibility and accounts
You must be legally able to enter a binding contract in your jurisdiction. You are responsible for accurate registration information, safeguarding credentials, and all activity under your account. Notify us promptly of unauthorized use.
3. Your conduct
You agree not to misuse the Services: no unlawful, fraudulent, or harmful activity; no interference with infrastructure or security; no scraping or automated access except as we expressly permit; no impersonation; and no transmission of malware or spam. We may suspend or terminate access for violations.
4. User content and listings
You retain rights in content you submit. You grant Logentrax a non-exclusive license to host, display, and use that content to operate and promote the Services. You represent that you have the rights to submit the content and that supplier listings, credentials, and descriptions are truthful to the best of your knowledge.
5. Third parties and transactions
The Services may facilitate introductions or communications between independent parties. Logentrax is not a party to contracts you make with suppliers, customers, or carriers unless we say otherwise in writing. You are responsible for evaluating counterparties and for compliance with applicable laws, permits, and industry standards.
6. Intellectual property
Logentrax and its licensors own the Services, branding, and related intellectual property. Except for the limited rights to use the Services under these Terms, no rights are granted.
7. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted or error-free operation or the accuracy of user-generated content.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGENTRAX AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID LOGENTRAX FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), IF YOU HAVE NOT PAID FEES. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
9. Indemnity
You will defend and indemnify Logentrax and its affiliates, officers, and employees against claims arising from your use of the Services, your content, or your breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.
10. Termination
You may stop using the Services at any time. We may suspend or terminate access for breach, risk, legal requirements, or business reasons. Provisions that by their nature should survive will survive termination.
11. Governing law
These Terms are governed by the laws applicable to Logentrax's principal place of business, excluding conflict-of-law rules, unless mandatory local law provides otherwise. Courts in that jurisdiction have exclusive venue, subject to any non-waivable rights you may have.
12. Changes
We may modify these Terms by posting an updated version. Continued use after the effective date constitutes acceptance of the revised Terms, except where additional consent is required by law.
